What addresses to use during fund setup

A common area of confusion is what address to use for setting up entities as well as legal documents. Here is an overview.

First, lets define what a physical address is:
  • Home address - where you live is a physical address.
  • Office address - your office can be a physical address.
  • Mailing address - can be a physical address where mail is received.
  • PO Box address - can be a physical address where mail is received.
  • Registered agent address - when you form an entity in another state, your registered agent address is a physical address.

For various documents, here is what we recommend you use.
  • Formation documents - we recommend a home, office or registered agent address.
  • IRS EIN letter - we recommend a home or office address. 
  • PPM -  we recommend a home or office address. Otherwise, a mailing or PO Box address is okay.
  • Operating agreement - we recommend a home or office address. Otherwise, a mailing or PO Box address is okay.
